General Terms and Conditions

I. Basic Provisions

1. These General Terms and Conditions of Business (hereinafter referred to as "Terms and Conditions") are issued pursuant to Section 1751 et seq. of Act No. 89/2012 Coll., the Civil Code (hereinafter referred to as "Civil Code")

(hereinafter referred to as the "Seller")

 

1. These Terms and Conditions regulate the mutual rights and obligations of the Seller and a natural person who enters into a purchase contract outside his/her business activity as a consumer or within his/her business activity (hereinafter referred to as the "Buyer") through the web interface located on the website available at the internet address floristicka-dilna.cz (hereinafter referred to as the "online store").

2. The provisions of the terms and conditions are an integral part of the purchase contract. Any deviating provisions in the Purchase Contract shall prevail over the provisions of these Terms and Conditions.

3. These Terms and Conditions and the Purchase Contract are concluded in the Czech language.

 

 

II. Order and conclusion of the purchase contract

1. The costs incurred by the buyer when using remote means of communication in connection with the conclusion of the purchase contract (costs of internet connection, costs of telephone calls) are borne by the buyer himself. These costs do not differ from the basic rate.

2. The buyer orders goods in the following ways:

  • a. through his/her customer account if he/she has previously registered in the online shop,
  • b. by filling in the order form without registration.
  • c. by phone at +420 603 848 265 every working day from 8:00 a.m. to 5:00 p.m.
  • d. by electronic mail delivered to the Seller at floristicka.dilna@seznam.cz

3. All presentation of goods placed in the web interface of the shop is informative and the seller is not obliged to conclude a purchase contract regarding these goods. Section 1732(2) of the Civil Code shall not apply.

4. The web interface of the shop contains information about the goods, including the prices of individual goods. The prices of the goods are inclusive of value added tax. The prices of the goods remain valid for as long as they are displayed in the web interface of the shop. This provision does not limit the seller's ability to conclude a purchase contract on individually agreed terms.

5. The web interface of the shop also contains information on the costs associated with the delivery of goods.

6. To order goods, the buyer fills in the order form in the web interface of the shop. The order form or order must contain in particular the following information:

a. designation and number of ordered goods (the ordered goods are "inserted" by the buyer into the electronic shopping cart of the web interface of the store),

b. buyer's details, delivery details, date and time of delivery, text of the dedication and special notes of the buyer,

c. for goods destined abroad, the Buyer is obliged to indicate the final country of delivery,

d. the method of payment of the purchase price of the goods, details of the required method of delivery of the ordered goods and information on the costs associated with the delivery of the goods

(hereinafter collectively referred to as the "Order")

7. Before sending the order to the Seller, the Buyer is allowed to check and change the data that the Buyer has entered in the order, including with regard to the Buyer's ability to detect and correct errors arising when entering data into the order. The Buyer shall send the order to the Seller by clicking on the "Pay" button. The data provided in the order are considered correct by the Seller.

8. Sending an order is considered to be such an act of the buyer, which identifies the ordered goods, the purchase price, the buyer's person, delivery information, the method of payment of the purchase price and the chosen method of transport in an unquestionable way. This act constitutes a binding draft purchase contract for both parties. The validity of the order is conditional on the completion of all mandatory data in the order form, familiarization with these terms and conditions and the terms and conditions of personal data protection. Before sending the order, the buyer confirms on the seller's web interface that he has read these terms and conditions and that he agrees with them in full.

9. Immediately upon receipt of the order, the Seller shall confirm receipt of the order to the Buyer by e-mail to the Buyer's e-mail address specified in the user interface or in the order (hereinafter referred to as the "Buyer's e-mail address").

10. The Seller is always entitled, depending on the nature of the order (quantity of goods, amount of the purchase price, estimated shipping costs) to ask the Buyer for additional order confirmation (for example, in writing or by phone).

11. The contractual relationship between the Seller and the Buyer is established by the delivery of the order acceptance (acceptance), which is sent by the Seller to the Buyer by e-mail to the Buyer's e-mail address.

12. The order is considered valid only after it has been paid, either by receipt of payment to the Seller's account or by receipt of confirmation of payment made to the Seller. If the order has been paid by credit card or through the Buyer's online banking or PayPal, GoPay, Apple Pay or Google Pay, the order is valid only after approval in the authorization center.

13. The Buyer agrees to the use of remote means of communication when concluding the purchase contract.

 

III. Price of goods and payment terms

1. Information about the goods, including the prices of individual goods and their main features are listed in the catalogue of the online store. The prices of the goods are inclusive of value added tax. The prices of the goods remain valid for as long as they are displayed in the online shop. This provision does not preclude the negotiation of a purchase contract on individually agreed terms.

2. All presentation of the goods in the catalogue of the online shop is informative and the seller is not obliged to conclude a purchase contract for these goods.

3. Information on the costs associated with the packaging and delivery of the goods is published in the online shop.

4. Any discounts on the purchase price of the goods cannot be combined with each other, unless otherwise agreed between the seller and the buyer.

5. The price of the goods and any costs associated with the delivery of the goods under the Purchase Contract may be paid by the Buyer to the Seller in the following ways:

  • a. by wire transfer to the Seller's account through the GoPay payment gateway;
  • b. by cashless payment through the PayPal payment system;
  • c. by cashless payment card;
  • d. cashless internet banking to the Seller's account via the GoPay payment gateway;
  • e. in cash or by credit card upon personal collection at the Seller's premises;
  • f. by invoice (for approved corporate customers only);
  • g. by cashless payment via Google Pay;
  • h. cashless via Apple Pay;

6. Together with the purchase price, the buyer is also obliged to pay the seller the costs associated with the packaging and delivery of the goods in the agreed amount. Unless expressly stated otherwise below, the purchase price shall also include the costs associated with the delivery of the goods.

7. In the case of payment via a payment gateway, the Buyer shall follow the instructions of the relevant electronic payment provider

8. In the case of non-cash payment, the Buyer's obligation to pay the purchase price is fulfilled when the relevant amount is credited to the Seller's bank account.

9. The Seller does not require any advance payment or any other similar payment from the Buyer. Payment of the purchase price before shipment of the goods is not a deposit.

10. In the case of cash on delivery, the purchase price is payable on receipt of the goods. In the case of cash on delivery, the price is payable before delivery of the goods.

11. The Seller is a payer of value added tax. The Seller shall issue a tax document to the Buyer after payment of the price of the goods and send it in electronic form to the Buyer's electronic address.

IV. Delivery terms and delivery of goods

1. The goods are delivered to the buyer by the seller's own couriers, through a courier service or through a contractual partner.

2. In the event that the order cannot be delivered to the selected destination or to the address specified in the order, the Buyer will be informed without undue delay and his payment in full will be refunded as soon as possible, but no later than 7 days from the selected delivery date.

3. In the event that it is not possible to contact the recipient at the requested time of delivery at the recipient's address specified by the Buyer in the order, the Seller or their authorised courier, courier service or contractual partner reserves the right to leave the order in a safe place (e.g. in the neighbourhood) and at the same time to leave a message to the recipient as to the whereabouts of their order. This notification will be sent via sms to the recipient's number indicated in the order.

4. In the case of deliveries to addresses where goods are picked up by a third party, such as hospitals, office buildings, funeral homes, airports, hotels, ships and other corporate, business or commercial locations, the signature of the person making the delivery on behalf of the organization is deemed to be acceptance of the goods. In the event that the purchaser wishes to have the goods delivered to the above locations, the purchaser shall verify the possibility of delivery directly.

5. The buyer acknowledges that the flowers illustrated in the catalogue of the online shop are in maximum bloom condition and are delivered in most cases in a state before maximum bloom, so that the recipient can be pleased for as long as possible.

6. Within the illustration of flowers with variants in the flower catalogue, the largest variant of the bouquet is always depicted.

7. The Seller reserves the right to substitute currently unavailable elements of bouquets and gift baskets in terms of type or colour with another element of equal or greater value (without affecting the final price) and, however, always in such a way as to preserve the original aesthetic character of the flower or gift basket, even without prior notice due to local stock, seasonality or availability at the final destination.

8. Flowers and flower gifts can be delivered within the Czech Republic on working days on the same day for all orders paid for before 4:00 pm.

9. Gift baskets can be delivered separately on the next business day within the Czech Republic for all orders received by 4:00 p.m. at least one business day before the requested delivery date.

10. Upon delivery of the goods, your age will be verified in the case of the sale of alcoholic beverages or other products subject to age verification.

V. Complaints

1. The rights and obligations of the contracting parties with regard to rights arising from defective performance are governed by the relevant generally binding provisions (in particular Sections 1914 to 1925, Sections 2099 to 2117 and Sections 2161 to 2174 of the Civil Code).

2. The Seller shall be liable to the Buyer that the goods are free from defects upon receipt. In particular, the seller is liable to the buyer that at the time the buyer took delivery of the goods:

  • a. the goods have the characteristics agreed between the parties and, in the absence of agreement, have the characteristics described by the seller or the manufacturer or expected by the buyer in view of the nature of the goods and on the basis of the advertising carried out by them,
  • b. the goods are fit for the purpose for which the seller states they are to be used or for which goods of that kind are usually used,
  • c. the goods are in the appropriate quantity, measure or weight
  • d. the goods comply with the requirements of the legislation.

3. Due to the nature of the goods offered through the online shop and §1921 (2) of the Civil Code, it is necessary to exercise the right of defective performance without undue delay after the goods have been taken over, and no later than 24 hours after taking over the goods in the case of live flowers. In the case of other products, within their minimum shelf life.

4. The Seller shall not be liable for any delay or cancellation of delivery due to incorrect or unverified delivery information provided by the Buyer, such as the recipient's address and contact details, the recipient's presence at the address given or the recipient's incorrect telephone number.

5. The rights arising from defective performance are exercised by the buyer at the seller's registered office.

 

VI. Withdrawal from the Purchase Agreement

1. The buyer (consumer) has the right to withdraw from the purchase contract in accordance with the provisions of Section 1829 (1) of the Civil Code within fourteen (14) days of receipt of the goods, and if the subject of the purchase contract is several types of goods or delivery of several parts, this period runs from the date of receipt of the last delivery of goods. The withdrawal from the purchase contract must be sent to the Seller within the period specified in the previous sentence.

2. The Buyer acknowledges that according to the provisions of Section 1837 of the Civil Code, the Purchase Contract cannot be withdrawn from, among other things:

  • a. the delivery of goods whose price depends on the fluctuations of the financial market independently of the will of the seller and which may occur during the withdrawal period,
  • b. the delivery of alcoholic beverages which may be delivered after the expiry of thirty days and the price of which depends on financial market fluctuations independent of the will of the seller,
  • c. the delivery of goods which have been adapted to the purchaser's wishes or to his person
  • d. the delivery of perishable goods and goods which have been irretrievably mixed with other goods after delivery,
  • e. the delivery of goods in sealed packaging which have been removed from the packaging by the buyer and cannot be returned for hygiene reasons,

3. For withdrawal from the purchase contract, the buyer can use the sample form provided by the seller on request electronically at floristicka.dilna@seznam.cz. The Buyer may send the withdrawal from the Purchase Contract, inter alia, to the address of the Seller's registered office or business premises.

4. In the event of withdrawal from the Purchase Contract pursuant to Article VI of the Terms and Conditions, the Purchase Contract shall be cancelled from the outset. The goods must be returned to the Seller within fourteen (14) days of the withdrawal from the contract. If the Buyer withdraws from the Purchase Contract, the Buyer shall bear the costs of returning the goods to the Seller, even if the goods cannot be returned by the usual postal or courier service due to their nature.

5. In the event of withdrawal from the contract according to Article VI. of the Terms and Conditions, the Seller shall return the funds received from the Buyer within fourteen (14) days of the Buyer's withdrawal from the purchase contract, in the same manner as the Seller received them from the Buyer. The Seller shall also be entitled to return the performance provided by the Buyer already upon return of the goods by the Buyer or in another manner, provided that the Buyer agrees and no additional costs are incurred by the Buyer. If the buyer withdraws from the purchase contract, the seller is not obliged to return the received funds to the buyer before the buyer returns the goods to him or proves that he has sent the goods to the seller.

6. The Seller is entitled to unilaterally set off the claim for payment for damage to the goods against the Buyer's claim for reimbursement of the purchase price.

7. If a gift is given to the Buyer together with the goods, the gift contract between the Seller and the Buyer is concluded with the condition that if the Buyer withdraws from the purchase contract, the gift contract with respect to such gift shall cease to be effective and the Buyer shall be obliged to return the gift together with the goods to the Seller.

VII. Other rights and obligations of the parties

1. The Seller shall not be bound by any codes of conduct in relation to the Buyer within the meaning of Section 1826(1)(e) of the Civil Code.

2. The Seller is authorised to sell goods on the basis of a trade licence. Trade control is carried out within the scope of its competence by the competent trade authority. Supervision of the protection of personal data is exercised by the Office for Personal Data Protection. The Czech Trade Inspection Authority supervises, among other things, compliance with Act No 634/1992 Coll., on Consumer Protection, as amended.

3. The Buyer hereby assumes the risk of change of circumstances within the meaning of Section 1765(2) of the Civil Code.

4. In connection with the nature of the goods sold, their seasonality and direct dependence on the availability of the flower exchange, the seller reserves the right to substitute flowers or colours compared to the presented photograph.

5. The Buyer acknowledges that the photographs of the flowers presented are in full bloom for illustrative purposes and the flowers delivered may in certain cases contain flowers in the early stages of bloom.

VIII. Privacy Policy

1. The Seller is the controller of personal data pursuant to Article 4(7) of Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (hereinafter: "GDPR").

2. Personal data means any information about an identified or identifiable natural person; an identifiable natural person is a natural person who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, a network identifier or to one or more specific elements of the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.

3. the controller has not appointed a data protection officer.

4. The controller processes personal data that you have provided to the controller or personal data that the controller has obtained on the basis of the fulfilment of your order.

5. The Controller processes your identification, contact and data necessary for the performance of the contract.

6. The lawful reason for processing personal data is:

  • a. the performance of a contract between you and the controller pursuant to Article 6(1)(b) GDPR,
  • b. the legitimate interest of the controller in providing direct marketing (in particular for sending commercial communications and newsletters) pursuant to Article 6(1)(f) GDPR,
  • c. Your consent to processing for the purpose of providing direct marketing (in particular for sending commercial communications and newsletters) pursuant to Article 6(1)(a) GDPR in conjunction with Section 7(2) of Act No. 480/2004 Coll., on certain information society services, in the absence of an order for goods or services.

7. The purpose of processing personal data is:

  • a. To fulfill your order and to perform rights and obligations arising from the contractual relationship between you and the administrator; when placing an order, personal data is required that is necessary for the successful completion of the order (name and address, contact details for both you and the recipient's contact details if it involves a third party). Providing personal data is a necessary requirement for concluding and fulfilling the contract; without providing personal data, it is not possible to conclude the contract or for the administrator to fulfill it.
  • b. To send commercial communications and to carry out other marketing activities.The administrator does not engage in automated individual decision-making as defined in Article 22 of the GDPR.
  1. The administrator retains personal data:

    a. For the duration necessary to fulfill the rights and obligations arising from the contractual relationship between you and the administrator, and to assert claims from these contractual relationships (for a period of 15 years from the termination of the contractual relationship).

    b. For as long as the consent to process personal data for marketing purposes is not withdrawn, but for no longer than 15 years, if personal data is processed based on consent.

  2. After the retention period for personal data has expired, the administrator will delete the personal data.

  3. The recipients of personal data are individuals:

a. Involved in the delivery of goods, services, and the execution of payments based on the contract,

b. Providing services related to the operation of the online store and other services connected with the operation of the online store,

c. Providing marketing services.

12. The Controller may transfer personal data that are strictly necessary / intends to transfer personal data to a third country (outside the EU) for the purpose of fulfilling the contractual relationship. Recipients of personal data in third countries are service providers directly related to the content of the customer’s order.

13. Under the conditions set out in the GDPR, you have the following rights:

a. the right to access your personal data pursuant to Article 15 GDPR,
b. the right to rectify your personal data pursuant to Article 16 GDPR, or to restrict processing pursuant to Article 18 GDPR,
c. the right to erase your personal data pursuant to Article 17 GDPR,
d. the right to object to processing pursuant to Article 21 GDPR,
e. the right to data portability pursuant to Article 20 GDPR,
f. the right to withdraw consent to processing in writing or electronically to the address or email of the Controller stated in Article III of these Terms and Conditions.

14. Furthermore, you have the right to lodge a complaint with the Personal Data Protection Office if you believe that your right to the protection of personal data has been violated.

15. The Controller declares that all appropriate technical and organizational measures have been taken to secure personal data.

16. The Controller has implemented technical measures to secure data storage and physical storage of personal data, particularly by securing data storage, encryption, regular data backups, and antivirus protection.

17. The Controller declares that access to personal data is limited to persons authorized by the Controller.

18. By submitting an order via the online order form, you confirm that you have read the privacy policy and accept it in its entirety.

19. You agree to these terms by ticking the consent box in the online form. By ticking the box, you confirm that you have read the privacy policy and accept it in its entirety.

20. The Controller reserves the right to amend these terms. The new version of the privacy policy will be published on the Controller’s website and simultaneously sent to your email address provided to the Controller.


IX. Sending Commercial Communications and Storing Cookies

  1. The Buyer will receive information related to the goods, services, or business of the Seller at the Buyer’s email address only with prior consent. This consent can be withdrawn at any time.

  2. The Buyer agrees to the storage of so-called cookies on their computer. If it is possible to complete a purchase and fulfill the Seller’s contractual obligations without storing cookies on the Buyer’s computer, the Buyer may withdraw consent at any time.


X. Out-of-Court Dispute Resolution

  1. The Czech Trade Inspection Authority (Česká obchodní inspekce), located at Štěpánská 567/15, 120 00 Prague 2, ID: 000 20 869, website: https://adr.coi.cz/cs, is competent for out-of-court resolution of consumer disputes arising from purchase contracts. The online dispute resolution platform at http://ec.europa.eu/consumers/odr may also be used to resolve disputes between the Seller and the Buyer under the purchase contract.

  2. The European Consumer Centre Czech Republic, located at Štěpánská 567/15, 120 00 Prague 2, website: http://www.evropskyspotrebitel.cz, serves as the contact point under Regulation (EU) No. 524/2013 of the European Parliament and Council on online dispute resolution and amending Regulations (EC) No. 2006/2004 and Directive 2009/22/EC.

  3. The Seller is authorized to sell goods under a trade license. Trade license compliance is monitored by the relevant trade authority. The Czech Trade Inspection Authority supervises compliance with Act No. 634/1992 Coll., on Consumer Protection.


XI. Delivery of Correspondence

  1. Contracting parties may deliver all written correspondence electronically.

  2. The Buyer sends correspondence to the Seller at the email address provided in these Terms and Conditions. The Seller sends correspondence to the Buyer at the email address provided in the Buyer’s account or order.


XII. Final Provisions

  1. All arrangements between the Seller and the Buyer are governed by the laws of the Czech Republic. If the purchase contract contains an international element, the parties agree that the relationship is governed by Czech law. This does not affect the consumer rights arising from generally binding legal regulations.

  2. The Seller is not bound by any codes of conduct vis-à-vis the Buyer pursuant to § 1826(1)(e) of the Civil Code.

  3. All rights to the Seller’s website, including copyrights to content, layout, photos, videos, graphics, trademarks, logos, and other content or elements, belong to the Seller. Copying, modifying, or using the website or any part of it without the Seller’s consent is prohibited.

  4. The Seller is not liable for errors resulting from third-party interference with the online store or from use contrary to its intended purpose. The Buyer must not perform actions that could negatively affect the operation of the online store or allow unauthorized access or use of software or other components of the online store.

  5. The Buyer assumes the risk of changes in circumstances pursuant to § 1765(2) of the Civil Code.

  6. The purchase contract, including the Terms and Conditions, is archived electronically by the Seller and is not publicly accessible.

  7. The Seller may modify or supplement the Terms and Conditions. These amendments do not affect rights and obligations arising during the validity of the previous version of the Terms and Conditions.


These Terms and Conditions come into effect on 01.01.2024.
